To ensure the security and reliability of our products, Digidentity verifies whether a company is officially registered and who within that company is authorised to act on its behalf.
This process is called company verification.
Important:
Digidentity can only use the authority information that is officially recorded in the relevant trade register.
We cannot make exceptions based on articles of association, shareholder agreements, board resolutions, powers of attorney or other internal company documents.
Why is company verification necessary?
These checks ensure that only individuals with the appropriate authority can manage company information or submit requests on behalf of the organisation.
For example, applying for eHerkenning access or requesting a Qualified Electronic Seal must be done by someone who is officially authorised to represent the company.
This helps protect your organisation from misuse and unauthorised access.
Which information does Digidentity check?
We verify companies by retrieving information from official trade registers, such as the Chamber of Commerce register in the Netherlands.
This is why, during registration, we ask for a company identifier from the relevant register, such as a Chamber of Commerce number.
In the trade register we check the following:
- Whether the company exists and is active.
- Who within the company is authorised to sign or act on behalf of the organisation.
- The type of authority, such as:
- Sole authorisation
- Shared authorisation (multiple signatures required)
- Limited authorisation or other conditions
Why does Digidentity only use information from the trade register?
To ensure all organisations are verified consistently and objectively, we can only use authority information that is officially recorded in the relevant trade register.
This information determines who may act on behalf of the organisation and whether additional approvals or signatures are required.
This means we cannot make exceptions based on information that is not reflected in the trade register.
Can Digidentity use articles of association or internal company documents?
No. Digidentity cannot use articles of association, shareholder agreements, board resolutions, powers of attorney or other internal company documents to override the authority information recorded in the trade register.
Even if these documents state that a specific individual may act independently, or that fewer signatures are required, we must follow the authority structure shown in the official trade register.
Can Digidentity obtain these documents from the Chamber of Commerce?
No. Digidentity does not request articles of association or other internal company documents from the Chamber of Commerce.
We do not review these documents as part of the company verification process.
What if the trade register does not match our internal arrangements?
If the authority structure shown in the trade register does not reflect your organisation's internal arrangements, this must be resolved outside of Digidentity.
We recommend contacting the Chamber of Commerce or your legal adviser.
Once the correct authority structure is reflected in the trade register, Digidentity can use that information during company verification.
How does Digidentity use the authority information?
The applicant is solely authorised
If the applicant is listed as solely authorised, the registration can proceed immediately. No additional signatures are needed.
The applicant has shared authorisation
If the applicant has shared authority, additional signatures from the other authorised representatives may be required. Our system will guide this process automatically.
The applicant is not authorised
If the applicant is not listed as authorised, we automatically generate an authorisation letter for the individuals who are authorised. Once these individuals submit the letter, the registration can be completed.
